Private market governance

Private markets concentrate decision rights in few hands. The general partner manages the fund and controls portfolio companies through their boards; limited partners commit capital for a decade or more with little ability to exit; advisory committees, lenders and regulators each hold specific rights. This page sets out how governance in private markets is structured, where conflicts of interest arise, how oversight is evidenced, and what the evidence serves for the people who hold the decisions.

01In brief

The short answer.

Private fund governance is the set of agreements and practices that allocate decision rights between general partners and limited partners. Private markets concentrate those rights: the general partner manages the fund and controls portfolio companies, while limited partners commit capital for a decade or more with little ability to exit, so conflicts and information gaps need safeguards.

04The question

Private market governance: how the risk develops.

Oversight and decision rights. The dossier below sets out how the risk develops, what is measured, where the data come from, how it is modelled and who decides.

Mechanism

Delegated control with long lock-up

Limited partners delegate investment, valuation and exit decisions to the general partner for the life of the fund. Their protections are contractual: the limited partnership agreement, side letters, key-person and removal clauses. Governance is largely set at fundraising and is hard to change later.

Mechanism

Conflicts in transactions

Fees charged to portfolio companies, cross-fund transactions, co-investment allocation and continuation vehicles in which the manager sits on both sides all create conflicts. Advisory committee consent and fairness opinions are the usual controls, and their independence varies.

Mechanism

Owner-controlled boards

Sponsors appoint most portfolio-company directors. Boards are small and closely aligned with the owner, which speeds decisions but can narrow challenge on safety, compliance and long-horizon risk.

Mechanism

Information asymmetry

The general partner holds detailed company information; limited partners see periodic summaries; regulators see aggregated filings. Oversight is only as good as the reporting chain, and gaps compound when capital is layered through feeders, co-investments and secondaries.

05Key terms

Terms used on this page.

Each term as this page uses it. Where a standard-setting body defines the term, the wording follows that body.

TermDefinition
Limited partner advisory committeeA committee of investors in a fund that reviews conflicts of interest and other matters set by the agreement.
Continuation vehicleA new fund, managed by the same general partner, that buys assets from an existing fund to extend their holding.
Key-person clauseA provision that suspends investing if named individuals leave the manager.
06Indicators

What is measured, and how well.

Each indicator carries its unit, its cadence, the kind of source behind it and the evidence label a value would carry. No values are shown: a programme supplies them under its own authority.

10Core questions

What governance research asks.

  • Which decisions sit with the sponsor, the company board, lenders and investors, and where do they overlap?
  • How do limited partners oversee managers, and what information do they receive?
  • How are conflicts of interest handled, for example in continuation vehicles or fees charged to portfolio companies?
  • Who speaks for employees, customers and communities in a company's governance?
11Mechanisms

How governance structures shape risk.

Private equity governance aligns managers and company executives through concentrated ownership and incentive pay tied to exit value. This can sharpen focus on performance. It can also encourage risk-taking whose costs fall on others, such as lenders in a downturn or service users when costs are cut. Limited partners rely on fund agreements, advisory committees and reporting to oversee managers, but information asymmetry is substantial.

In a crisis, decision rights shift. Lenders gain influence as covenants tighten; sponsors decide whether to inject more capital; boards balance obligations to creditors and other stakeholders. Clear arrangements agreed in advance make crisis decisions faster and fairer.

12Methods and limits

How governance is studied.

  1. 01

    Contract and document analysis

Studying public fund terms and credit agreements. Limits: most agreements are confidential.

  2. 02

    Governance case studies

Detailed accounts of governance in practice, a signature output of the platform. Limits: rely on public sources and hindsight.

  3. 03

    Incentive analysis

Studying how compensation and fee structures shape behaviour, using financial economics. Limits: incentives are only one driver.

  4. 04

    Comparative review of guidance

Comparing industry and investor governance principles. Limits: voluntary guidance varies in adoption.

14Questions

Questions and answers.

What does a limited partner advisory committee decide?
Usually conflicts of interest, valuation questions and certain amendments that the fund agreement reserves for it. It is not a board and does not manage the fund; its powers are set by the limited partnership agreement.
What is a continuation vehicle?
A new fund, managed by the same general partner, that buys one or more assets from an existing fund. Existing investors choose to sell or roll over. The manager sits on both sides, so pricing and process controls matter.
Are private funds regulated?
Their managers are, through regimes such as AIFMD in Europe and the Investment Advisers Act in the United States. The funds themselves face fewer product rules than funds sold to retail investors, and protections rest more on contract.
Does the platform rate managers' governance?
No. It publishes sector-level research and case studies and does not rate, rank or recommend managers.
Can limited partners use the case studies?
Case studies are educational and can be read by anyone. They are not advice on any investment.
Why does governance matter for systemic risk?
Because how decisions are made and by whom determines whether risks are noticed early and whether crises are resolved in an orderly way.
