Valuation uncertainty

Private holdings have no quoted price, so their value is estimated by the manager, usually each quarter, from models, comparable companies and recent transactions. Those estimates drive reported performance, fees, fund-level borrowing and limited partners' allocation decisions. This page sets out how fair value is estimated under accounting standards and the IPEV guidelines, where uncertainty and bias enter, how valuation governance is evidenced, and what the evidence serves for the committees, investors and supervisors who rely on the marks.

01In brief

The short answer.

Private equity valuation is the estimate, usually quarterly and by the manager, of what unlisted holdings are worth, made from models, comparable companies and recent transactions under fair value accounting. These marks drive reported performance, fees and fund-level borrowing, and they are tested only when assets are sold.

04The question

Valuation uncertainty: how the risk develops.

Unlisted data and model limits. The dossier below sets out how the risk develops, what is measured, where the data come from, how it is modelled and who decides.

Mechanism

Models in place of markets

Most private holdings are Level 3 assets under IFRS 13 and ASC 820, valued with unobservable inputs. A small change in a chosen multiple or discount rate can move value materially, and the choice rests with the valuer.

Mechanism

Smoothing and lag

Quarterly marks based on lagged earnings and selected comparables move less than public markets. Reported volatility and correlation then understate economic risk, which feeds into allocation models and the denominator effect at limited partners.

Mechanism

Incentives in the mark

Marks influence fundraising, carried interest, NAV-based borrowing and continuation-vehicle pricing. Independent valuation functions and committees exist because the party marking the asset benefits from the mark.

Mechanism

Realisation tests the mark

The gap between the last mark and the realised exit price is the clearest evidence of valuation quality, but realisations are selective: the assets sold first may be those whose marks are easiest to confirm.

05Key terms

Terms used on this page.

Each term as this page uses it. Where a standard-setting body defines the term, the wording follows that body.

TermDefinition
Level 3 assetAn asset valued with significant unobservable inputs under the IFRS 13 and ASC 820 fair value hierarchy.
Denominator effectAn investor's private asset share rising above target when public assets fall faster than private marks.
Valuation smoothingThe tendency of appraisal-based marks to move less and later than market prices.
06Indicators

What is measured, and how well.

Each indicator carries its unit, its cadence, the kind of source behind it and the evidence label a value would carry. No values are shown: a programme supplies them under its own authority.

10Core questions

What valuation research asks.

  • How closely do private valuations track the prices at which assets actually sell?
  • How quickly do valuations respond to market changes, and why?
  • Which assumptions drive valuations most, and how sensitive are results to them?
  • Who relies on these valuations, and what decisions do they inform?
  • How are valuation methods and changes disclosed to investors, and is that disclosure enough to judge their reliability?
11Mechanisms

Why private valuations are uncertain.

Uncertainty in private valuation is structural, not a sign of bad practice. Where there is no market price, every value is an estimate, and different reasonable estimates can differ materially.

No market price

Estimated values

Without trading prices, values depend on models, comparables and assumptions.

Smoothing

Lagged response

Valuations updated periodically with judgement tend to move more slowly than public markets.

Incentives

Who values

Managers value their own portfolios, which creates potential conflicts that governance must manage.

12Methods and limits

How valuation uncertainty is studied.

  1. 01

    Comparison with realized exits

Comparing reported values with eventual sale prices. Limits: only sold assets are observed.

  2. 02

    Sensitivity analysis

Testing how values change with key assumptions, using financial and risk engineering. Limits: depends on knowing which assumptions matter.

  3. 03

    Public market proxies

Using listed comparables to estimate how private values might move, grounded in financial economics. Limits: private and public companies differ.

  4. 04

    Review of valuation practice

Comparing industry guidance and governance of valuation. Limits: practice varies across managers.

14Questions

Questions and answers.

What is a Level 3 asset?
An asset valued with significant inputs that cannot be observed in a market, such as projected cash flows or adjusted comparable multiples. Accounting standards require disclosure of those inputs and their sensitivity.
Why do private marks look less volatile than public prices?
Because they are estimated quarterly from lagged and selected inputs. The smoothing is a feature of the process, not evidence of lower economic risk, and researchers adjust for it before comparing asset classes.
What is the denominator effect?
When public assets fall faster than private marks, private holdings rise as a share of an investor's portfolio and can exceed allocation limits, constraining new commitments even though nothing has been sold.
Who is responsible for a fund's valuations?
The manager, under its valuation policy, with oversight from a valuation committee, auditors and, under AIFMD, an independent valuation function or external valuer. Limited partners rely on, but do not set, the marks.
Does the platform value assets or funds?
No. GRA does not value, rate or appraise any asset or fund.
Are private valuations wrong?
Not necessarily. They are estimates with uncertainty. The question is how large that uncertainty is and how it is governed and disclosed.
Why does valuation lag matter systemically?
Because investors, lenders and regulators use valuations for decisions. If values lag reality, risks may be recognized late.
Who checks private valuations?
Auditors review them as part of fund audits, and some investors use independent valuation firms. Practices vary across managers.
